The terms governing access to this website, submission of a programme application and use of Fifth I Factory materials.

1. Acceptance of these Terms

These Terms apply when a person accesses this website or submits information to Fifth I Factory Incubation Pvt Ltd through it. By using the website, the user agrees to these Terms and the Privacy Policy. A person acting for a venture confirms that they have authority to provide its information.

If these Terms are not accepted, the website should not be used and an application should not be submitted.

2. Website purpose

The website describes an entrepreneurial launchpad focused on business-model validation, investor documentation, ecosystem engagement, pitch preparation and fundraising support for early-stage ventures preparing for Seed or Angel investment.

Website content is general information. It is not a binding offer, programme acceptance, promise of services, investment commitment or substitute for a signed engagement document.

3. Eligibility and authority

A website user and applicant must be legally capable of entering into a contract and must provide accurate, current and complete information. Applications should be submitted only by a founder or authorised representative of the venture.

Fifth I Factory may request clarification or evidence of authority and may decline to assess incomplete, misleading, unlawful or unsuitable submissions.

4. Application and selection

Submitting an application creates no right to admission, mentorship, investor access, introductions or funding. Fifth I Factory may assess programme fit using its internal criteria, request further information, pause an assessment or decide not to proceed.

Application review is not investment due diligence and does not validate a venture’s legal compliance, valuation, technology, financial forecasts or commercial viability.

5. Programme scope

The programme may support investment-readiness assessment, investor collateral, ecosystem engagement, founder narrative, pitch preparation and fundraising execution. The exact scope, timing, deliverables, fees, confidentiality obligations and responsibilities for a cohort or venture will be set out separately in writing.

If a signed programme, services, confidentiality or other agreement conflicts with these website Terms, the signed agreement will control for its subject matter.

6. Founder responsibility

  • Verify all commercial, technical, legal and financial information supplied to Fifth I Factory or any third party.
  • Obtain independent legal, tax, accounting, regulatory and investment advice appropriate to the venture.
  • Protect credentials, personal data, confidential information and intellectual property when sharing materials.
  • Comply with applicable laws and avoid misleading claims to investors, customers or programme participants.
  • Make all final business, fundraising and transaction decisions independently.

7. Acceptable use

The website must not be used to violate law, infringe rights, distribute malware, interfere with security, scrape or probe systems without permission, impersonate another person, submit deceptive information, or transmit material that is unlawful or harmful.

Fifth I Factory may restrict access or disregard a submission where misuse, security risk or unlawful conduct is reasonably suspected.

8. Intellectual property

The Fifth I Factory name, website design, original programme frameworks and published materials are owned by Fifth I Factory or their respective licensors. Access to the website does not transfer ownership or grant a right to reproduce, commercialise or misrepresent those materials.

A founder retains ownership of material they submit, subject to granting Fifth I Factory a limited right to review, store and use it for the application and agreed programme purposes. Separate terms should govern jointly created or customised deliverables.

9. Confidentiality and submissions

Website submission alone does not create a comprehensive non-disclosure agreement. Applicants should provide only the limited information requested and should not upload highly sensitive or proprietary material through an unapproved channel.

Confidential treatment of detailed venture or investor materials should be governed by an appropriate written agreement and secure exchange process.

10. Third parties

Any investor, fund, mentor, adviser or external service provider acts independently unless a written agreement expressly states otherwise. Fifth I Factory is not responsible for a third party’s decision, advice, diligence, website, security or performance.

A link, introduction or reference does not by itself constitute endorsement, agency, partnership or a guarantee of suitability.

11. Availability and changes

The website and its content may be changed, suspended or withdrawn. Fifth I Factory does not promise uninterrupted availability or that all information will always be complete, current or error-free.

12. Disclaimers and liability

The website is provided on an “as available” basis. To the maximum extent permitted by applicable law, Fifth I Factory disclaims implied warranties relating to the website and informational content.

Nothing in these Terms excludes liability that cannot lawfully be excluded. Subject to that limitation and any separate signed agreement, Fifth I Factory will not be liable for indirect, consequential or speculative loss arising solely from website use, reliance on general content, an application outcome or an independent third-party decision.

13. Governing law and disputes

These Terms are governed by the laws of India. Subject to any dispute-resolution terms in a separate signed agreement, courts having jurisdiction over Fifth I Factory’s registered office will have jurisdiction over disputes arising from these Terms.

The parties should first attempt in good faith to resolve a dispute through written discussion, without limiting any right to seek urgent or mandatory relief.

Fifth I Factory may update these Terms prospectively. Questions or notices may be sent through the official communication channel provided during the application or programme relationship.
